In Open Company all will be in another way. The government has approved a bill which makes amendments to the Civil code, the law « About Open Company » and the law « About the state registration of legal persons and individual businessmen ». In the bill it is offered by the unique constituent document of such society to leave the charter . And in it there will be no data on the size and a face-value of a share of each participant of a society that excludes necessity of entering each time of amendments in the charter at change of structure of the authorized capital or structure of participants. The bill also offers to exclude regulations about an exit of the participant from a society and establishes, that the termination of membership is possible in case of transition of a share to a society or other person. With a view of protection of rights of separate participants of Open Company, including not having significant influence on acceptance of decisions by general meeting, it is provided to demand an opportunity of the participant payment of the valid cost of a share in case of acceptance by assembly of a society of decisions which can result in reduction of the valid cost of actions belonging to him. Besides the bill provides, that data on participants of Open Company and their shares should contain in the Uniform state register of legal persons, and their transition from one person to another is possible only from the moment of entering respective alterations into data of the given register.
